Consultant Terms

  1. Consultant Registration: By registering as a consultant with Shoonya, you agree to provide accurate and complete information about yourself and your qualifications. You also consent to undergo any necessary background checks as part of the registration process.

  2. Consulting Services: Consultants are responsible for providing professional consulting services to clients in accordance with industry standards and best practices. Consultants agree to deliver services in a timely and professional manner, meeting the expectations outlined in each client engagement.

  3. Confidentiality: Consultants acknowledge that they may have access to sensitive information during the course of their consulting engagements. Consultants agree to maintain the confidentiality of all client information and to not disclose any confidential information to third parties without prior consent.

  4. Intellectual Property: Consultants retain ownership of any intellectual property they create while providing consulting services. However, consultants grant Shoonya a non-exclusive, royalty-free license to use any intellectual property created during the course of a consulting engagement for the purposes of promoting Shoonya's services.

  5. Payments: Shoonya agrees to compensate consultants for their consulting services as agreed upon in each client engagement. Payment terms will be specified in the engagement agreement between the consultant and Shoonya.

  6. Independent Contractor Status: Consultants acknowledge that they are independent contractors and not employees of Shoonya. Consultants are responsible for their own taxes, insurance, and other legal obligations related to their consulting business.

  7. Termination: Either party may terminate the consultant agreement at any time for any reason with written notice to the other party. Upon termination, consultants agree to complete any outstanding work and return any company property or confidential information in their possession.

Jurisdiction and Governing Law: These terms and conditions shall be governed by and construed in accordance with the laws of jurisdiction applicable to either of client or consultant place of operation/residence. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of jurisdiction application to either of client or consultant place of operation/residence. Both parties agree to comply with all applicable laws and regulatory requirements governing their respective jurisdictions and to cooperate in good faith to address any legal or regulatory issues that may arise during the course of the consultancy.

  7. Ownership and Return of Materials: Upon the Disclosing Party's request or upon termination of this Agreement, the Receiving Party shall promptly return to the Disclosing Party all materials containing or reflecting Confidential Information and any copies thereof.
